VF Corp Sells Dickies to Bluestar Alliance for $600 Million
VF Corporation has announced a significant portfolio adjustment, reaching an agreement to divest its Dickies brand to Bluestar Alliance LLC. The deal, valued at $600 million in cash, marks a notable transaction in the apparel industry and is anticipated to finalize by the end of the current year. This acquisition will see Dickies integrated into Bluestar Alliance's extensive brand management portfolio, which already oversees more than 500 licensees and an expanding retail platform encompassing over 500 stores worldwide.
Dickies, a brand with a rich history spanning over a century since its inception in 1922, holds a prominent position among heritage American labels. Known for its durable, long-lasting, and comfortable clothing, it has solidified its status in performance workwear and is globally accessible in 55 countries. However, the sale price of $600 million is notably less than the $820 million VF Corp originally paid to acquire Dickies back in 2017, highlighting a different valuation strategy seven years later.
Bluestar Alliance's CEO, Joseph Gabbay, expressed enthusiasm for the acquisition, emphasizing Dickies' unique appeal. He stated that the brand's ability to "balance utility and style" allows it to "resonate across generations, geographies, and subcultures." Gabbay underscored Bluestar's long-standing appreciation for Dickies' "history and legacy," acknowledging VF Corporation's efforts in rebuilding its standing over recent years. Bluestar Alliance is committed to fostering Dickies' growth by leveraging its consumer insights and operational excellence to "unlock its full value for all stakeholders."
From VF Corporation's perspective, the divestiture is a strategic move to optimize its financial health and portfolio. Bracken Darrell, President and CEO of VF, remarked that under Bluestar Alliance's ownership, Dickies is poised to "continue to improve and realize its significant growth potential." More critically, Darrell explained that the transaction is designed to "bring our net debt level down and will be accretive to our growth on a pro-forma basis," reflecting VF's continuous evaluation of its brand portfolio to enhance overall performance.
Despite the sale of Dickies, VF Corporation maintains a robust and well-known brand portfolio. The company will continue to own and manage other major global brands that include outdoor and lifestyle stalwarts such as The North Face, Vans, and Timberland, among others, reaffirming its strong presence in various apparel and footwear segments.
